PLN Restructuring of USD 21 billion assets

Supported the multi-phase legal restructuring of PT PLN (Persero), including asset transfer of over 21,000 MW, the setup of four sub-holdings, and governance frameworks for the PLN Group.

Hijaunesia 2023 (1,055 MW)

Acted as legal advisor to PT PLN Indonesia Power in a landmark multi-project renewable IPP tender, including 12 solar and wind facilities.

Tanjung Jati B 5&6 (2 x 1,000 MW

Represented Sumitomo-led consortium in drafting and negotiating EPC, PPA, and shareholder agreements for one of Indonesia’s largest coal-fired power projects.

Cirebon Expansion (1,000 MW)

Advised Marubeni-led sponsors on land, regulatory, and contractual issues for the coal-fired expansion in West Java.

SULBAGUT 1 and SULUT 3 Projects (2 x 50 MW each)

Represented project sponsors on EPC, O&M, and coal supply contracts, while aligning project structuring with Indonesian local content requirements.

Construction Arbitration (SIAC Rules)

Assisted a Japanese contractor in international arbitration against an Indonesian SOE, supporting lead counsel from Singapore.

Key transactions & experience
  • Advised and assisted Consortium led by Sumitomo Corporation, PT Bhumi Jati Power on the development of a 2 x 1,000 MW (Tanjung Jati B 5&6) coal-fired power plant in Tanjung Jati B, Jepara, Indonesia. Adi’s involvement in the project includes among other, to advise on various Indonesian legal aspects (including regulatory/licensing, structure, Power Purchase Agreement negotiation and review of Engineering Procurement Construction Contracts, Coal Supply Agreements and Coal Transportation Agreements).
  • Advised and assisted of a Consortium led by Marubeni Corporation, PT Cirebon Energi Prasarana on the development of the Cirebon expansion Jawa-1 (1000 MW power plant). Adi’s involvement in the project includes among other, to advise on various Indonesian legal aspects (including regulatory/licensing, structure, Power Purchase Agreement negotiation and review of Engineering Procurement Construction Contracts, Coal Supply Agreements and Coal Transportation Agreements).
  • Advised and assisted PT Gorontalo Listrik Perdana with regard to the development of the SULBAGUT 1 Coal Fired Steam Power Plant (2 x 50 MW). Adi’s involvement in the project includes among other, preparation and negotiation of the Engineering Procurement Construction Contract, Operation and Maintenance Contract, and the Coal Supply Agreement as well as providing various advice related to the EPC structure and Local Content requirements.
  • Advised and assisted PT Minahasa Cahaya Lestari with regard to the development of the SULUT 3 Coal Fired Steam Power Plant (2 x 50 MW). Adi’s involvement in the project includes among other, preparation and negotiation of the Engineering Procurement Construction Contract, Operation and Maintenance Contract, and the Coal Supply Agreement as well as providing various advice related to the EPC structure and Local Content requirements.
  • Advised PT Tri Daya Energi Bengkayang in the drafting of tender document and selection process of EPC Contractors, as well as the drafting and negotiation of EPC Contracts for the development of the Setanggi 2 x 2,5 MW Minhydro Power Plant located in West Kalimantan, Indonesia.
  • Advised and assisted PT Kertanegara Energi Perkasa in a contract negotiation of Engineering Procurement Construction contract for the expansion of the Senipah Gas Turbine Power Plant STEAM TAIL Project, 1 x 25 MW Steam Turbine.
  • Advised Marubeni in its intention to engage in Rooftop Sola PV projects in Indonesia.
  • Advised PT Hidro Jaya Manajur in the drafting of tender document and selection process of EPC Contractors, as well as the drafting and negotiation of EPC Contracts for the development of the Manajur 2 x 2,5 MW Minhydro Power Plant located in West Kalimantan, Indonesia.
  • Assisted Gamesa-Siemens in the negotiation of the construction contract with Equis for the development of 72-MW Tolo 1 wind farm in Indonesia.
  • Advised ENGIE Solar on the structure to develop Solar Power Plant in Indonesia.
  • Assisted a Japanese construction company (as the respondent’s Indonesian legal counsel and assisting a UK based law firm in Singapore (acting as the respondent’s foreign legal counsel) in a construction dispute (under the 2016 SIAC Rules) against an Indonesian State-Owned Enterprise.
  • Represented the Indonesian state-owned electricity company, Perusahaan Listrik Negara (PLN), to conclude a major restructuring, involving the transfer of 21,352MW of power generation assets of around IDR330 trillion (USD21 billion) and forming four sub-holding companies. The establishment of the sub-holdings is aimed at transforming PLN’s business model and accelerate the transition to renewable energy, as well as create a more agile and efficient structure. The works involve a series of spinoffs, acquisitions, transfers of assets/businesses, human resources, licences, change in regulatories, information technology, and other organisation restructuring, and also the preparation of the corporate charter as well as service level agreement documents for the governance of PLN Group Companies.
  • Assisted a potential tenderer and the Japan International Cooperation Agency (JICA) in the preparation of a feasibility study for the tender process for the Electronic Road Pricing project in Jakarta in 2013

  • Assisted a fully owned Indonesian company as the project owner in the preparation and negotiation of Engineering Procurement Construction Contract for the CNI Lapaopao Block Laterite RKEF with one 72MVA RKEF. Adi’s involvement in the project including to negotiation of the Engineering Procurement Construction Contracts with one of the Chinese State-Owned Entity in a joint operation with a Indonesian State Owned Entity acting as the EPC Contractors.
  • Representing PT PLN Indonesia Power in Hijaunesia 2023 Project as its legal advisor in the preparation of the business model, tender documents, evaluation and execution of the procurement of twelve (12) potential IPP Projects of solar power plants (PLTS), ranging 50MW to 100MW and one (1) wind power plant (PLTB), 55MW in capacity, in Indonesia.
  • Assisted potential bidder in the bidding process for the procurement of Integrated Waste Management System in Bali, Indonesia in 2022. The works involve preparation regulatory frameworks on the procurement of goods and services by government and Public Private Partnership.
  • Assisted a potential tenderer in advisory work including preparation of a detailed regulatory framework for the Electronic Road Pricing project in Jakarta in 2021. The works involve preparation legal analysis on the past and current regulation on Electronic Road Pricing in Jakarta including but not limited to identifying potential bankability issues and other legal risk in relation to the project.
