Restructuring Indonesia’s Power Sector

Advised PT PLN (Persero) on the USD 21 billion restructuring of its national power generation portfolio, involving the legal transfer of 21,352 MW of generation assets and the establishment of four strategically aligned subholding companies. The transaction required complex legal structuring and cross-institutional coordination with 12 ministries and government bodies.

Our lawyers managed a wide array of regulatory, tax, licensing, and electricity framework issues while simultaneously communicating across hundreds of stakeholders, creditors, and third-party entities. The firm ensured the restructuring proceeded without disrupting PLN’s operational continuity, providing legal clarity in a high-stakes environment. Delivered with institutional rigor and public-sector accountability, this transaction set a benchmark for SOE corporate actions conducted prudently and in full alignment with governance standards, thereby mitigating the risk of corruption, an enduring concern in Indonesia’s state-owned enterprise landscape.
